 Rozdział I. Postanowienia ogólne

Fundacja pod nazwą THE ADVENTURE STARTS HERE FOUNDATION zwana dalej Fundacją, ustanowiona przez Monikę Ćwiek zwaną dalej Fundatorem, aktem notarialnym sporządzonym przez Notariusza Sławomira Ogonka w jego Kancelarii Notarialnej w Warszawie, w dniu 9 sierpnia 2019 roku działa na podstawie przepisów prawa polskiego i niniejszego Statutu.

  1. Fundacja uzyskuje osobowość prawną z chwilą wpisania do Krajowego Rejestru Sądowego.
  2. Fundacja jest powołana na czas nieoznaczony.

  1. Nazwa Fundacji brzmi THE ADVENTURE STARTS HERE FOUNDATION.
  2. Fundacja może wskazywać, iż jest „fundacją Neli Małej Reporterki” lub odpowiednio w języku angielskim „NELA’S FOUNDATION”.
  3. Fundacja może posługiwać się tłumaczeniem nazwy w wybranych językach obcych.
  4. Fundacja może używać wyróżniającego ją znaku graficznego (logo).
  5. Fundacja może posługiwać się pieczęcią z oznaczeniem nazwy i siedziby Fundacji.
  6. Ambasadorem Fundacji jest Nela Mała Reporterka.

  1. Siedzibą Fundacji jest m.st. Warszawa.
  2. Terenem podstawowej działalności Fundacji jest obszar Rzeczypospolitej Polskiej.
  3. Dla właściwego realizowania swych celów Fundacja może prowadzić działalność poza granicami Rzeczypospolitej Polskiej.
  4. Fundacja może tworzyć oddziały na obszarze Rzeczypospolitej Polskiej i za granicą.
  5. Fundacja może być członkiem związków, stowarzyszeń i organizacji o podobnych lub tych samych celach statutowych.
  6. Fundacja może współpracować i przystępować do spółek oraz innych fundacji działających na terenie Rzeczypospolitej Polskiej i za granicą.
  7. Fundacja może nawiązywać kontakty zagraniczne oraz być członkiem zagranicznych i międzynarodowych organizacji, z poszanowaniem niniejszego Statutu, norm prawa międzynarodowego, praw obowiązujących w Rzeczypospolitej Polskiej i prawa ojczystego partnerów zagranicznych.
  8. Fundacja może przyznawać nagrody i tytuły honorowe, a w szczególności dyplomy, wyróżnienia, granty, stypendia – zarówno osobom fizycznym (również dzieciom poniżej trzynastego roku życia), jak i innym podmiotom, instytucjom, organizacjom, jak również odznaczać zwierzęta (np. psy ratownicze) zaangażowane w realizację celów Fundacji.

  1. Fundacja realizuje swoje cele społeczno- oraz gospodarczo- użyteczne zgodnie z podstawowymi interesami Rzeczypospolitej Polskiej oraz obowiązującym prawem, a w szczególności z ustawą o fundacjach i z niniejszym Statutem.
  2. Działalność statutowa Fundacji może być prowadzona jako działalność nieodpłatna lub jako działalność odpłatna. Zakres prowadzonej działalności nieodpłatnej lub odpłatnej pożytku publicznego określa Zarząd.
  3. Fundacja nie działa w celu osiągnięcia zysku. Fundacja może prowadzić w kraju i za granicą działalność odpłatną w rozmiarach służących realizacji jej celów statutowych i osiągany dochód przeznaczać wyłącznie na realizację tych celów oraz pokrywania kosztów ogólnego zarządu, w granicach dopuszczonych przepisami prawa.
  4. Działalność pożytku publicznego prowadzona przez Fundację może przybrać formę działalności nieodpłatnej lub działalności odpłatnej.
  5. Przychód z działalności odpłatnej pożytku publicznego służy wyłącznie prowadzeniu działalności pożytku publicznego.

Rozdział II. Cele i zasady działania Fundacji

Ministrem właściwym ze względu na cel Fundacji jest Minister Środowiska.

Celami Fundacji są:

  • ochrona środowiska, zwierząt oraz ochrona dziedzictwa przyrodniczego, a w szczególności:
  1. życia i zdrowia zwierząt,
  2. bioróżnorodności fauny i flory,
  3. przyrody i naturalnych siedlisk zwierząt,
  4. mórz i oceanów.
  • ochrona dziedzictwa kulturowego, historycznego, paleontologicznego i archeologicznego,
  • działalność naukowa, a w szczególności rozwój nauk i badań w zakresie:
  1. weterynarii,
  2. genetyki i zachowania zwierząt,
  3. inteligencji zwierząt i sposobów komunikowania się organizmów żywych,
  4. ekologii,
  5. paleontologii,
  6. światowego dziedzictwa historycznego, przyrodniczego i kulturowego,
  7. wypraw odkrywczych, podróżniczych i przyrodniczych,
  8. ukrytych skarbów, zaginionych cywilizacji, mitów i legend,
  9. geografii,
  10. kartografii,
  11. archeologii (w tym archeologii podwodnej),
  12. badań dna zbiorników wodnych (morza, oceany oraz wszelkie inne wody słodkie – stałe lub płynące),
  13. poszukiwania nowych gatunków zwierząt oraz roślin, nowych form organizmów,
  14. historii,
  15. etnografii,
  16. astrofizyki i kosmologii,
  • działalność naukowo-techniczna,
  • rozwój oraz promocja edukacji, czytelnictwa i nauki mówienia,
  • rozwój edukacyjny i osobowościowy dzieci i młodzieży,
  • działalność na rzecz dzieci i młodzieży, w tym wypoczynek dzieci i młodzieży,
  • wspieranie leczenia, rehabilitacji i edukacji dzieci,
  • ekologia i promocja ochrony środowiska,
  • działania na rzecz ekologii i ochrony zwierząt oraz ochrony dziedzictwa przyrodniczego,
  • ochrona i promocja zdrowia,
  • opieka i pomoc społeczna, w tym pomoc rodzinom i osobom w trudnej sytuacji życiowej oraz wyrównywanie szans tych rodzin i osób,
  • rozwój i promocja gospodarki, w tym działalność wspomagająca rozwój techniki, wynalazczości i innowacyjności oraz rozpowszechnianie i wdrażanie nowych rozwiązań technicznych w praktyce gospodarczej,
  • działalność wspomagająca rozwój gospodarczy, w tym rozwój przedsiębiorczości,

  • działania na rzecz nauki, szkolnictwa wyższego, edukacji, oświaty i wychowania,
  • rozwój i promocja kultury i sztuki, ochrony dóbr kultury i dziedzictwa narodowego,
  • ochrona dóbr kultury i tradycji,
  • działalność kulturalna,
  • opieka nad zabytkami, promocja zabytków i atrakcji turystycznych;
  • rehabilitacja zawodowa i społeczna inwalidów,
  • działalność oświatowa, w tym również polegająca na kształceniu studentów,
  • działalność w zakresie rozwoju, upowszechniania i promocji kultury fizycznej i sportu,
  • działalność w zakresie rozwoju, upowszechniania i promocji działalności artystycznej i twórczej, w szczególności dzieci i młodzieży,
  • działalność charytatywna,
  • działalność dobroczynna,
  • rozwój i promocja projektów filmowych, w tym reportaży oraz animacji,
  • podtrzymywanie i upowszechnianie tradycji narodowej,
  • pielęgnowanie polskości oraz rozwój świadomości narodowej, obywatelskiej i kulturowej, w tym również działania skierowanie do Polonii w tym ukierunkowanie na rozwój czytelnictwa w języku polskim,
  • wsparcie kulturalne, edukacyjne, naukowe i wspieranie czytelnictwa Polonii za granicą,
  • pomoc Polonii i Polakom za granicą,
  • działalności na rzecz mniejszości narodowych i etnicznych oraz języka regionalnego,
  • działalność na rzecz osób niepełnosprawnych,
  • działalność na rzecz osób w wieku emerytalnym i rencistów,
  • działalności na rzecz kombatantów i osób represjonowanych,
  • działalności na rzecz weteranów i weteranów poszkodowanych w rozumieniu ustawy z dnia 19 sierpnia 2011 r. o weteranach działań poza granicami państwa (Dz. U. poz. 1203, z 2017 r. poz. 60 oraz z 2018 r. poz. 138),
  • działalność wspomagająca rozwój wspólnot i społeczności lokalnych;
  • promocja i organizacja wolontariatu,
  • promocja Rzeczypospolitej Polskiej za granicą,
  • działalność na rzecz rodziny, macierzyństwa, rodzicielstwa, upowszechniania i ochrony praw dziecka,
  • ochrona i promocja zdrowia, w tym działalności leczniczej w rozumieniu ustawy z dnia 15 kwietnia 2011 r. o działalności leczniczej (Dz. U. z 2018 r. poz. 160 i 138),
  • ratownictwa i ochrony ludności,
  • pomoc ofiarom katastrof, klęsk żywiołowych, konfliktów zbrojnych i wojen w kraju i za granicą,
  • działalność na rzecz integracji europejskiej oraz rozwijania kontaktów i współpracy między społeczeństwami,
  • rewitalizacja,
  • promocja zatrudnienia i aktywizacja zawodowa osób pozostających bez pracy i zagrożonych zwolnieniem z pracy,
  • działalności na rzecz organizacji pozarządowych.

  1. Fundacja realizuje swoje cele przez:
  • organizację, prowadzenie i wspomaganie badań oraz rozpowszechnianie ich wyników,
  • organizowanie, dofinansowywanie lub finansowanie konferencji, zjazdów i sympozjów naukowych,
  • prowadzenie zajęć dydaktycznych i edukacyjnych,
  • wsparcie nauczycieli, specjalistów, lekarzy,
  • organizowanie kursów i szkoleń w szczególności dla lokalnych działaczy ochrony przyrody i społeczności lokalnej w tym dzieci i młodzieży,
  • organizowane obozów badawczych,
  • organizowanie wycieczek przyrodniczych,
  • tworzenie i prowadzenie internetowych baz danych,
  • tworzenie i prowadzenie edukacyjnych i informacyjnych stron www oraz innych e-instrumentów służących realizacji celów Fundacji, w tym aktywizacji edukacyjno-poznawczo-przyrodniczej,
  • podejmowanie wszelkich działań, które będą służyły realizacji celów Fundacji – budowanie stron internetowych, aplikacji, prowadzenie mediów społecznościowych, innych środków w tym masowego przekazu, po uzyskaniu odpowiednich pozwoleń, zgód czy koncesji oraz wszelkich innych aktywności związanych z realizacją celów statutowych,
  • wspieranie transferu polskich osiągnięć naukowych do praktyki gospodarczej i społecznej w Polsce i zagranicą,
  • organizowanie, dofinansowywanie lub finansowanie spotkań edukacyjnych, szkoleń, wypraw,
  • działalność promocyjną, edukacyjną, wydawniczą i badawczą w zakresie wymienionym celach działania Fundacji,
  • wydawanie periodyków naukowych i popularno-naukowych,
  • współpracę z władzami samorządowymi, rządowymi i organizacjami pozarządowymi, sektorem prywatnym, organizacjami międzynarodowymi i podmiotami zagranicznymi w zakresie wymienionym w celach działania Fundacji,
  • fundowanie stypendiów oraz wspieranie finansowe i rzeczowe działalności osób fizycznych i podmiotów prowadzących działalność zbieżną z celami Fundacji,
  • organizowanie i wspieranie imprez promocyjnych i edukacyjnych w zakresie wymienionym w celach działania Fundacji,
  • organizowanie akcji i kampanii społecznych oraz informacyjnych,
  • działalność charytatywną i wspieranie organizacji charytatywnych,
  • organizację wydarzeń kulturalnych, jak koncertów, wystaw, festiwali, konferencji, spotkań, przeglądów, warsztatów, debat, paneli, występów, widowisk, wernisaży, pokazów teatralnych i filmowych, innych wydarzeń artystycznych, kulturalnych, edukacyjnych lub promujących idee celów Fundacji oraz imprez i zawodów sportowych,
  • podejmowanie wszelkich działań w celu upowszechniania wiedzy w zakresie celów działalności Fundacji,
  • organizowanie i promowanie działalności społecznej, wolontariatu oraz upowszechnienie dobrych wzorców działalności na poziomie lokalnym, regionalnym i międzynarodowym,
  • organizowanie wymian szkolnych, młodzieżowych i studenckich,
  • tworzenie, realizowanie, współtworzenie i współrealizowanie programów stypendialnych i szkoleniowych dla dzieci, młodzieży szkolnej i akademickiej, wolontariuszy oraz specjalistów różnych dziedzin, osób dorosłych oraz seniorów,
  • tworzenie materiałów medialnych i kampanii społecznych,
  • ułatwianie kontaktów oraz wymianę informacji pomiędzy instytucjami, jednostkami badawczymi, uczelniami, osobami fizycznymi, sektorem prywatnym, pozarządowym, samorządowym i rządowym,
  • niesienie pomocy, w szczególności pomocy rozwojowej i humanitarnej,
  • upowszechnianie edukacji,
  • działania na rzecz przeciwdziałaniu analfabetyzmowi, w szczególności w krajach rozwijających się,
  • udzielanie wsparcia rzeczowego, osobowego bądź finansowego w celu realizacji celów Fundacji, a w szczególności umożliwiającego wyrównanie szans edukacyjnych, badawczych i rozwojowych, jak i wzmocnienie ochrony przyrody,
  • organizowanie spotkań terapeutycznych ze zwierzętami,
  • udzielanie wsparcia rzeczowego, osobowego bądź finansowego wspomagającego rozwój wybitnych jednostek w tym utalentowanych dzieci i młodzieży, sportowców, naukowców i weterynarzy,
  • organizowanie wolontariatu i wyjazdów dla wolontariuszy,
  • wymianę doświadczeń z innymi krajami,
  • wspomaganie technicznie, szkoleniowo i informacyjnie podmiotów zewnętrznych,
  • fundowanie nagród, stypendiów oraz grantów,
  • dokumentowanie badań oraz prowadzenie działalności filmowej i fotograficznej,
  • prowadzenie konkursów,
  • prowadzenie akcji szkoleniowych, informacyjnych i edukacyjnych,
  • tworzenie muzeów, wystaw, przedstawień, spotkań, widowisk, aktywności,
  • podejmowanie wszelkich akcji związanych z ratowaniem zwierząt oraz opieką nad zwierzętami oraz ochroną przyrody,
  • organizację, prowadzenie, tworzenie, wspomaganie tworzenia ośrodków naukowo-badawczych, stacji badawczych, obserwatoriów, parków przyrody, rezerwatów, schronisk, ośrodków weterynaryjno-rehabilitacyjnych, klinik, laboratoriów, ośrodków przyrodniczo-edukacyjnych, innych ośrodków i punktów naukowych, odkrywczych i podróżniczych,
  • budowę maszyn, robotów i urządzeń służących do eksploracji, w szczególności głębin,
  • tworzenie hodowli zachowawczych w zakresie fauny i flory,
  • organizowanie i prowadzenie wypraw naukowo-badawczych,
  • nabywanie terenów celem realizacji na ich obszarze celów statutowych Fundacji, a w szczególności wykup terenów pod tworzenie rezerwatów przyrody i ochrony zwierząt,
  • propagowanie i wspieranie badań fauny, flory i środowiska w tym zagrożonych gatunków zwierząt, realizacja krajowych programów ochrony zwierząt i przyrody oraz międzynarodowych programów ochrony zwierząt i przyrody,
  • współpracę z ośrodkami badawczymi, szkołami, naukowcami, podróżnikami, weterynarzami, odkrywcami na całym świecie,
  • współpracę z dziećmi, młodzieżą, rodzicami i angażowanie dzieci w pomoc przy realizacji celów Fundacji,
  • udział w krajowych i międzynarodowych programach badawczych oraz wymianę informacji i doświadczeń z innymi podmiotami, rozpowszechnianie i upublicznianie wyników badań,
  • inicjowanie i wspieranie nowoczesnych metod badań, opracowywanie metodologii badań, prowadzenie analiz i ankiet,
  • prowadzenie działań propagujących czytelnictwo oraz prace logopedyczne i ogólnorozwojowe z dziećmi,
  • tworzenie przedszkoli, szkół i jednostek edukacyjnych,
  • prowadzenie i wspieranie prac archeologicznych, wypraw odkrywczych podróżniczych, podejmowanie działań mających na celu popularyzację badań oraz ich wyników,
  • podejmowanie działań mających na celu popularyzację efektów działań Fundacji,
  • wspieranie działalności innych podmiotów, których działalność jest zbieżna z celami Fundacji,
  • członkostwo w organizacjach zrzeszających podmioty polskie i zagraniczne oraz członkostwo w innych podmiotach, organizacjach i inicjatywach,
  • inicjowanie postępowań i przystępowanie do postępowań toczących się przed organami wymiaru sprawiedliwości oraz organami administracji publicznej w charakterze organizacji społecznej zgodnie z obowiązującymi przepisami prawa,
  • inicjowanie, prowadzenie i wspieranie wszelkich działań, które dążą do realizacji celów Fundacji,
  • promocję,
  • organizowanie wyjazdów edukacyjnych, w szczególności dla dzieci,
  • upowszechnienie działań i wiedzy w zakresie celów statutowych Fundacji,
  • kształtowanie pozytywnych zachowań w zakresie celów statutowych Fundacji,
  • aktywizację społeczną w zakresie celów statutowych Fundacji,
  • udział w innych przedsięwzięciach, zgodnych z celami statutowymi Fundacji.

 

  1. Szczegółowe zasady i warunki realizacji celów mogą określać regulaminy wewnętrze Fundacji stworzone przez Zarząd.

Rozdział III. Działalność gospodarcza Fundacji

  1. Fundacja może prowadzić w kraju i za granicą działalność gospodarczą w rozmiarach służących realizacji jej celów statutowych.
  2. Rozpoczęcie prowadzenia działalności wymaga uzyskania wpisu do właściwego rejestru.
  3. O rozpoczęciu działalności gospodarczej przez Fundację decyduje Zarząd i określa jej przedmiot działalności gospodarczej.
  4. Dochód z działalności gospodarczej Fundacji przeznacza się na finansowanie jej działalności statutowej, pokrywanie kosztów ogólnego zarządu Fundacji oraz rozwój działalności gospodarczej Fundacji.
  5. Działalność gospodarcza Fundacji może być prowadzona przez samą Fundację lub przez wyodrębnione jednostki organizacyjne.

Rozdział IV. Majątek i dochody Fundacji

  1. Majątek Fundacji stanowi fundusz założycielski Fundacji oraz środki finansowe, nieruchomości, ruchomości, prawa materialne, niematerialne i inne środki uzyskane przez Fundację w toku jej działania.
  2. Majątek wstępny Fundacji stanowi fundusz założycielski w kwocie 10 000 zł i jest wnoszony przez Fundatora.
  3. Na ewentualną działalność gospodarczą przeznacza się kwotę 2 000 zł wydzieloną z funduszu założycielskiego.
  4. Realizacja celów Fundacji oraz koszty ogólne Fundacji finansowane są z funduszu założycielskiego oraz z dochodów uzyskanych przez Fundację, na zasadach przewidzianych w niniejszym Statucie.
  5. Dochody Fundacji pochodzą w szczególności z:

a) krajowych i zagranicznych darowizn, spadków, zapisów, nawiązek, 1% z zapisów podatkowych,

b) dotacji, grantów, datków i subwencji,

c) zbiórek i imprez (w tym publicznych),

d) dochodów z aktywów, majątku ruchomego, nieruchomego, własności intelektualnej, autorskich praw majątkowych, licencji, znaków towarowych, znaków patentowych i innych praw Fundacji;

e) zysku z depozytów bankowych, lokat w bankach i instytucjach rynku kapitałowego w kraju i za granicą (w walucie polskiej i obcej), jak również różnice kursowe,

f) zysku z odsetek, w tym od papierów wartościowych,

g) zysku z dywidend i udziałów Fundacji w spółkach,

h) operacji finansowych,

i) dochodów z działalności gospodarczej Fundacji,

j) emisji obligacji.

  1. Dochody Fundacji przeznaczone są na realizację jej celów oraz na koszty ogólnego zarządu.
  2. Środki majątkowe pochodzące z darowizn, spadków, zapisów, nawiązek, 1% z zapisów podatkowych, dotacji, grantów, datków, subwencji, zbiórek i imprez (w tym publicznych) mogą być użyte na realizację celów Fundacji lub pokrycie kosztów ogólnego zarządu tylko z poszanowaniem woli przekazujących te środki, zgodnie z pkt. 3 poniżej.
  3. Przekazujący Fundacji prawa, dobra lub środki majątkowe, może zastrzec, że dobra lub środki majątkowe z nich pochodzące mają być wykorzystane w określony sposób. Zarząd Fundacji może nie przyjąć tego warunku, jeżeli uzna że jest trudny, niemożliwy do spełnienia lub naraziłby Fundację na szkodę. W takim wypadku Fundacja nie przyjmuje takich praw, dóbr lub środków majątkowych, bądź zwraca je, jeżeli zostały już przekazane. Jeżeli w trakcie realizacji celu wskazanego przez przekazującego cel ten zostanie już osiągnięty lub stanie się bezprzedmiotowy, pozostałe środki przekazane na realizację tego celu Fundacja przeznacza, na cel najbardziej zbieżny z pierwotnym celem, chyba że przekazujący przy przekazywaniu postanowił inaczej.
  4. Jeżeli przekazaniu praw, dóbr, czy środków majątkowych nie towarzyszy określenie celu ich wykorzystania, Fundacja może przeznaczyć je na dowolny cel statutowy lub koszty ogólne.
  5. Fundacja może tworzyć fundusze, w tym o charakterze celowym, zgodnie z wolą ofiarodawcy sygnowane jego imieniem i nazwiskiem, nazwą lub wskazaną inicjatywą.

  1. Fundacja prowadzi gospodarkę finansową i ewidencję księgową zgodnie z obowiązującymi przepisami.
  2. Fundacja może gromadzić swoje fundusze w walucie polskiej oraz w walutach obcych.
  3. Fundacja odpowiada całym swoim majątkiem za swoje zobowiązania.

Rozdział V. Organy Fundacji

  1. Organami Fundacji są:
  2. Rada Fundatorów – obligatoryjnie.
  3. Zarząd – obligatoryjnie.
  4. Nada Nadzorcza – fakultatywnie.

Rada Fundatorów

  1. W skład Rady Fundatorów wchodzi z mocy Statutu Fundator. Rada Fundatorów składa się od jednego do trzech członków (włączając Przewodniczącego Rady Fundatorów). Fundator może jednoosobowo powoływać oraz odwoływać inne osoby do/z Rady Fundatorów, które otrzymują status Członków Rady Fundatorów. W przypadku, gdy Rada Fundatorów jest wieloosobowa Fundator przyjmuje funkcję Przewodniczącego Rady Fundatorów. Przewodniczącemu Rady Fundatorów przysługują uprawienia Fundatora. Przewodniczący Rady Fundatorów określa regulamin działania Rady Fundatorów, terminy i sposób zwoływania jej posiedzeń.
  2. Fundator może wyznaczyć osoby, które zostaną powołane do Rady Fundatorów w przypadku jego śmierci wskazując czy otrzymują status Członka Rady Fundatorów, czy Przewodniczącego Rady Fundatorów.
  3. Rada Fundatorów podejmuje uchwały zwykłą większością głosów (jest to większość osiągnięta, gdy więcej osób biorących udział w głosowaniu opowiada się za wnioskiem niż przeciw – głosy wstrzymujące się nie są wliczane do wyniku), a gdy składa się z jednego członka, uchwały są podejmowane jednoosobowo. W razie równej liczby głosów decyduje głos Przewodniczącego Rady Fundatorów.
  4. Czas kadencji członków Rady Fundatorów określa Fundator w uchwale powołującej członków Rady Fundatorów. Kadencja Fundatora jest ciągła. Kadencja ciągła dotyczy też członków Rady Fundatorów powołanych uchwałą podjętą na wypadek śmierci Fundatora, o ile uchwała nie stanowi inaczej.
  5. Rada Fundatorów powołuje Zarząd oraz Radę Nadzorczą oraz określa sposób funkcjonowania tych organów.
  6. Fundator jest uprawniony do zmiany Statutu, w tym zmiany celów Fundacji oraz sposobów ich realizacji.
  7. Do kompetencji Rady Fundatorów należy:
  8. Określenie liczby członków Zarządu Fundacji.
  9. Powoływanie i odwoływanie Zarządu Fundacji lub jego poszczególnych członków.
  10. Ustalanie wynagrodzeń członków Zarządu Fundacji.
  11. Uchwalanie regulaminu działania Zarządu Fundacji.
  12. Rozpatrywanie i zatwierdzanie rocznych sprawozdań Zarządu Fundacji, w tym sprawozdań wymaganych przez przepisy prawa.
  13. Podejmowanie uchwał w sprawie udzielenia Zarządowi Fundacji absolutorium.
  14. Powoływanie i rozwiązywanie Rady Nadzorczej Fundacji, powoływanie i odwoływanie jej członków oraz ustalanie zasad jej funkcjonowania.
  15. Członkostwo w Radzie Fundatorów Członka Rady wygasa:

  17. Z chwilą doręczenia oświadczenia o odwołaniu z Rady Fundacji.

Zarząd Fundacji

  1. Zarząd prowadzi sprawy Fundacji i reprezentuje ją na zewnątrz.
  2. Zarząd Fundacji składa się z jednego do trzech członków, włączając Prezesa Zarządu. W przypadku zarządu jednoosobowego Fundację reprezentuje Prezes Zarządu.
  3. Oświadczenia woli w imieniu Fundacji składa:
  4. w przypadku Zarządu jednoosobowego – Prezes Zarządu.
  5. w przypadku Zarządu wieloosobowego – Prezes Zarządu jednoosobowo lub dwaj Członkowie Zarządu działający łącznie.
  6. W skład Zarządu Fundacji z mocy Statutu wchodzi Fundator i przyjmuje funkcję Prezesa Zarządu, który powoływany jest na czas nieoznaczony.
  7. Pozostałych Członków Zarządu oraz Prezesa Zarządu, który nie jest Fundatorem powołuje Fundator lub Rada Fundatorów  zgodnie ze Statutem.
  8. Funkcję członka Zarządu, jak i Prezesa Zarządu można pełnić przez więcej niż jedną kadencję.
  9. Członkowie Zarządu, za wyjątkiem Prezesa Zarządu, powoływani są na okres wspólnej trzyletniej kadencji, co oznacza, iż mandat Członka Zarządu Fundacji powołanego przed upływem danej kadencji Zarządu Fundacji wygasa równocześnie z wygaśnięciem mandatów pozostałych członków Zarządu Fundacji. Prezes Zarządu powoływany jest na czas nieoznaczony.
  10. Mandat członka Zarządu Fundacji wygasa:

  1. Zarząd podejmuje decyzje na posiedzeniach, w formie uchwał – zwykłą większością głosów (jest to większość osiągnięta, gdy więcej osób biorących udział w głosowaniu opowiada się za wnioskiem niż przeciw – głosy wstrzymujące się nie są wliczane do wyniku). W razie równej liczby głosów decyduje głos Prezesa Zarządu.
  2. Posiedzenia Zarządu Fundacji odbywają się w miarę potrzeb.
  3. Zarząd może powoływać zespoły doradcze.
  4. Zarząd może powoływać fakultatywne jednostki pomocnicze, jak rady doradcze, naukowe czy programowe, stałe lub tymczasowe placówki terenowe, instytuty, bazy badawcze w kraju i za granicą oraz określać sposób ich funkcjonowania.
  5. Osoby wchodzące w skład Zarządu Fundacji oraz członkowie innych organów i jednostek pomocniczych mogą pobierać wynagrodzenie z tytułu udziału w pracach tych organów, jednostek lub zespołów.

  1. Do zadań Zarządu należy w szczególności:
    a) Zarządzanie pracą Fundacji i reprezentowanie jej na zewnątrz.
    b) Powoływanie i odwoływanie jednostek Fundacji i zespołów doradczych oraz ich członków.
    c) Uchwalanie programów i projektów działań Fundacji.
    d) Uchwalanie budżetu Fundacji oraz polityki rachunkowości.
    e) Zarządzanie majątkiem Fundacji.
    f) Przyjmowanie środków majątkowych, jak darowizn, spadków i zapisów, subwencji i dotacji.
    g) Podejmowanie decyzji o połączeniu z inną Fundacją.
    h) Podejmowanie decyzji o likwidacji Fundacji.
    i) Nadawanie tytułów honorowych, innych nagród i tytułów.
  2. Sporządzanie i zatwierdzanie sprawozdań z działalności Fundacji.
  3. Podejmowanie decyzji we wszystkich sprawach nieprzekazanych do kompetencji innych organów.

Rada Nadzorcza

  1. Jest organem fakultatywnym Fundacji i może być ustanowiona przez Radę Fundatorów.
  2. Jest organem pełniącym kontrolę wewnętrzną nad Zarządem Fundacji. Nadzór nie obejmuje nadzoru nad działalnością innych organów, jednostek, zespołów doradczych, czy poszczególnych osób.
  3. Rada Nadzorcza może dokonywać kontroli majątku Fundacji oraz jej dokumentów finansowych.
  4. Szczegółowy sposób funkcjonowania Rady Nadzorczej, jej skład, obowiązki i uprawnienia określa Rada Fundatorów.

Rozdział VI. Zmiana Statutu

Zmiany w Statucie Fundacji może dokonać:

Jest również uprawniony do zmiany celów Fundacji oraz sposobów ich realizacji oraz innych postanowień zawartych w akcie fundacyjnym.

Rozdział VII. Połączenie z inną fundacją, innymi organizacjami

  1. Fundacja może się połączyć z inną fundacją lub innymi organizacjami, dla efektywnego realizowania swoich celów.
  2. Decyzje o połączeniu podejmuje Prezes Zarządu jednoosobowo.

 

Rozdział VIII. Likwidacja Fundacji

  1. Fundacja ulega likwidacji w razie wyczerpania się jej środków finansowych, majątku lub postanowienia Prezesa Zarządu Fundacji.
  2. Decyzję o likwidacji podejmuje Prezes Zarządu Fundacji.
  3. Likwidatora Fundacji powołuje i odwołuje Prezes Zarządu Fundacji lub sam przyjmuje funkcję likwidatora.
  4. Majątek pozostały po likwidacji Fundacji przeznacza się mocą postanowienia Prezesa Fundacji na rzecz działających w Rzeczpospolitej Polskiej fundacji o zbliżonych celach.

ARTICLES OF ASSOCIATION OF THE FOUNDATION

 The Adventure starts Here Foundation

 Chapter I. General Provisions

Article 1

The foundation under the business name THE ADVENTURE STARTS HERE FOUNDATION, hereinafter referred to as the Foundation, established by Monika Ćwiek hereinafter referred to as the Founder, on the basis of a notarial deed drawn up by Civil Law Notary Sławomir Ogonek in his Civil Law Notary Office in Warsaw, on 9 August 2019, operates on the basis of Polish law and these Articles of Association.

Article 2

  1. The Foundation obtains legal personality upon entering into the National Court Register.
  2. The Foundation is established for an indefinite period.

Article 3

  1. The business name of the Foundation is THE ADVENTURE STARTS HERE FOUNDATION.
  2. The Foundation may use the additional denotation ‘Nela – the Young Reporter Foundation’ or ‘THE ADVENTURE STARTS HERE – NELA’S FOUNDATION’.
  3. The Foundation may use the translation of the name in selected foreign languages.
  4. The Foundation may use a distinctive graphic sign (logo).
  5. The Foundation may use a seal with the name and registered office of the Foundation.
  6. Nela – the Young Reporter is the Foundation’s ambassador.

Article 4

  1. The registered office of the Foundation is the capital city of Warsaw.
  2. The area of the basic activity of the Foundation is the territory of the Republic of Poland.
  3. For the proper implementation of its objectives, the Foundation may conduct activities outside the Republic of Poland.
  4. The Foundation may establish branches within the territory of the Republic of Poland and abroad.
  5. The Foundation may be a member of unions, associations and organisations with similar or the same statutory objectives.
  6. The Foundation may cooperate and join companies and other foundations operating within the territory of the Republic of Poland and abroad.
  7. The Foundation may establish foreign contacts and be a member of foreign and international organisations, respecting these Articles of Association, international law standards, laws in force in the Republic of Poland and the native law of foreign partners.
  8. The Foundation may award prizes and honorary titles, in particular diplomas, distinctions, grants, scholarships – both to natural persons (including children under the age of thirteen), as well as other entities, institutions, organisations, and to distinct animals (e.g. search and rescue dogs) involved in the implementation of the Foundation’s objectives.

Article 5

  1. The Foundation pursues its objectives of socio-economic benefit in accordance with the basic interests of the Republic of Poland and applicable law, in particular with the Act on Foundations and with these Articles of Association.
  2. The statutory activity of the Foundation may be conducted as unpaid or paid activity. The scope of unpaid or paid public benefit activity is specified by the Management Board.
  3. The Foundation is a non-profit organisation. The Foundation may carry out paid activity in the country and abroad to the extent necessary for the implementation of its statutory objectives and the generated income may be allocated solely to the implementation of these objectives and to cover the general administration costs within the limits of law.
  4. Public benefit activities carried out by the Foundation may take the form of unpaid or paid activities.
  5. Revenues from paid public benefit activities may only be used to carry out public benefit activities.

Chapter II. Objectives and principles of the Foundation’s operation (including public benefit objectives)

Article 6

The minister competent for the purpose of the Foundation is the Minister of the Environment.

Article 7

The objectives of the Foundation include:

  • protection of the environment, animals and protection of the natural heritage, in particular:
  1. life and health of animals,
  2. biodiversity of fauna and flora,
  3. nature and natural animal habitats,
  4. seas and oceans.
  • protection of cultural, historical, paleontological and archaeological heritage,
  • scientific activities, in particular the development of sciences and research in terms of:
  1. veterinary medicine,
  2. genetics and animal behaviour,
  3. animal intelligence and means of communication of living organisms,
  4. ecology,
  5. paleontology,
  6. world historical, natural and cultural heritage,
  7. exploration, travel and nature expeditions,
  8. hidden treasures, lost civilizations, myths and legends,
  9. geography,
  10. cartography,
  11. archeology (including underwater archeology),
  12. bottom surveys of water reservoirs (seas, oceans and all other fresh waters – standing or flowing),
  13. searching for new species of animals and plants, new forms of organisms,
  14. history,
  15. ethnography,
  16. astrophysics and cosmology,
  17. robotics,
  • scientific and technical activities,
  • development and promotion of education, reading and speaking skills,
  • educational and personality development of children and youth,
  • activities for children and youth, including leisure for children and youth,
  • supporting the treatment, rehabilitation and education of children,
  • ecology and promotion of environmental protection,
  • activities for ecology and the protection of animals and the natural heritage,
  • health promotion and protection,
  • social care and social assistance, including help for families and people in a difficult life situation, and equalling the opportunities for these families and people,
  • development and promotion of the economy, including activities supporting the development of technology, inventiveness and innovation, as well as the spreading and implementing new technical solutions in business practice,
  • activities supporting economic development, including the development of entrepreneurship,
  • development and promotion of regions,
  • development and promotion of tourism, travel and sightseeing,
  • tourism and sightseeing activities,
  • development and promotion of science, private, home, pre-school, early school, primary, secondary and higher education and upbringing,

  • maintaining and promoting the national tradition,
  • nurturing Polish identity and the development of national, civic and cultural awareness, including actions directed to the Polish community, including focusing on the development of reading in Polish,
  • cultural, educational, scientific support and supporting Polish readership abroad,
  • help for the Polish community and Poles abroad,
  • activities for national and ethnic minorities and regional languages,
  • activities to the benefit of the disabled people,
  • activities for persons at the retirement age and pensioners,
  • activities for veterans and repressed people,
  • activities to the benefit of veterans and veterans injured within the meaning of the Act of 19 August 2011 on Veterans of Activities Outside the Country (Journal of Laws [Dz.U.], item 1203, of 2017, item 60 and of 2018, item 138),
  • activities supporting the development of local communities,
  • promotion and organisation of volunteering,
  • promotion of the Republic of Poland abroad,
  • activities for the family, motherhood, parenthood, promotion and protection of children’s rights,
  • health protection and promotion, including medical activities within the meaning of the Act of 15 April 2011 on Medical Activities (Journal of Laws [Dz.U.] of 2018, items 160 and 138),
  • rescue and civil protection,
  • help for victims of disasters, natural disasters, armed conflicts and wars in the country and abroad,
  • activities for European integration and developing contacts and cooperation between societies,
  • revitalisation,
  • promotion of employment and professional activation of persons unemployed and threatened with dismissal,
  • activities to the benefit of non-governmental organisations.

 Article 8

  1. The Foundation implements its objectives by:
  • organising, conducting and supporting research and spreading their results;
  • organising, co-financing or financing conferences, congresses and symposia;
  • conducting didactic and educational classes;
  • supporting teachers, specialists and doctors;
  • organising courses and training sessions, in particular for local nature protection activists and the local community, including children and youth;
  • organising research camps;
  • organising trips;
  • creating and maintaining internet databases;
  • creating and running educational and informational websites and other e-instruments to achieve the Foundation’s objectives, including educational, cognitive and environmental activations;
  • undertaking any activities that will serve the implementation of the Foundation’s objectives – building websites, applications, managing profiles on social media and other media including mass media, following obtaining appropriate permits, consents or licences and all other activities relating to the implementation of statutory objectives;
  • supporting the transfer of Polish scientific achievements to economic and social practice in Poland and abroad;
  • organising, co-financing or financing educational meetings, training sessions and expeditions;
  • promotional, educational, publishing and research activities within the scope of the Foundation’s objectives;
  • publishing of scientific and popular science periodicals;
  • cooperation with local government, government and non-governmental organisations, private sector, international organisations and foreign entities in the scope provided for in the objectives of the Foundation;
  • funding scholarships as well as financial and material support of the activities of natural persons and entities conducting activities coinciding with the Foundation’s objectives;
  • organising and supporting promotional and educational events within the scope provided for in the Foundation’s objectives;
  • organising social and information campaigns;
  • charity activities and supporting charities;
  • organising cultural events, such as concerts, exhibitions, festivals, conferences, meetings, reviews, workshops, debates, panels, performances, shows, openings, theatre and film shows, other artistic, cultural, educational events or those promoting the ideas of the Foundation’s objectives, and sports events and competitions;
  • taking any actions to promote knowledge on the objectives of the Foundation;
  • organising and promoting social activities, volunteering and spreading good business models at local, regional and international levels;
  • organising school, youth and student exchange programmes;
  • creating, implementing, co-creating and co-implementing scholarship and training programmes for children, school and academic youth, volunteers and experts of various fields, adults and seniors;
  • creating media materials and social campaigns;
  • facilitating contacts and exchange of information between institutions, research units, universities, natural persons, private, non-governmental, self-government and governmental sectors;
  • providing assistance, in particular, in development and humanitarian aid;
  • promoting education;
  • actions to combat illiteracy, in particular in developing countries;
  • providing material, personal or financial support in order to achieve the Foundation’s objectives, in particular enabling equalisation of educational, research and development opportunities as well as strengthening nature protection;
  • organising therapeutic meetings with animals;
  • providing material, personal or financial support for the development of outstanding individuals, including talented children and young people, athletes, scientists and veterinarians;
  • organising volunteering and trips for volunteers;
  • exchanging experiences with other countries;
  • technical, training and information support of external entities;
  • funding awards, scholarships and grants;
  • documenting research and conducting film and photographic activities;
  • conducting competitions;
  • conducting training, information and educational campaigns;
  • creating museums, exhibitions, performances, meetings, shows and activities;
  • taking any actions relating to saving animals, caring for animals and nature protection;
  • organising, operating, creating and supporting the creation of science and research centres, research stations, observatories, nature parks, reserves, shelters, veterinary and rehabilitation centres, clinics, laboratories, nature and educational centres, other scientific, research, discovery and travel centres;
  • constructing machines, robots and exploration devices, in particular for depths exploration;
  • creating conservation breeding in terms of fauna and flora;
  • organising and conducting scientific and research expeditions;
  • acquiring land to implement the Foundation’s statutory objectives, in particular purchasing land for the creation of nature reserves and animal protection;
  • promoting and supporting research on fauna, flora and the environment, including endangered animal species, implementing national animal and nature protection programmes and international animal and nature protection programmes;
  • cooperating with research centres, schools, scientists, travellers, veterinarians and explorers all around the world;
  • cooperating with children, youth, parents and engaging children in helping to achieve the Foundation’s objectives;
  • participating in national and international research programmes as well as exchanging information and experience with other entities, spreading and publishing research results;
  • initiating and supporting modern research methods, developing research methodologies, conducting analyses and surveys;
  • carrying out activities promoting reading, speech therapy and general development works with children;
  • creating kindergartens, schools and educational units;
  • conducting and supporting archaeological works, travel exploration expeditions, undertaking activities aiming at popularising research and its results;
  • undertaking activities aiming at popularising the effects of the Foundation’s activities;
  • supporting the activities of other entities whose activities are convergent with the objectives of the Foundation;
  • membership in organisations of Polish and foreign entities as well as membership in other entities, organisations and initiatives;
  • initiating proceedings and commencing proceedings before judicial and public administration authorities as a social organisation in accordance with applicable law;
  • initiating, conducting and supporting all activities that pursue the implementation of the objectives of the Foundation;
  • promoting;
  • organising educational trips, in particular for children;
  • spreading activities and knowledge regarding the statutory objectives of the Foundation;
  • shaping positive behaviour in terms of the Foundation’s statutory objectives;
  • social activation within the statutory objectives of the Foundation;
  • participating in other ventures that are compliant with the Foundation’s statutory objectives.
  1. Detailed rules and conditions for achieving the objectives may be set out in the Foundation’s internal regulations created by the Management Board.

Chapter III. Economic activity of the Foundation

Article 9

  1. The Foundation may carry out economic activity in the country and abroad to the extent necessary for implementation of its statutory objectives.
  2. In order to start economic activity an entry in the relevant register is required.
  3. The Management Board decides on the Foundation’s commencement of economic activity and defines its subject.
  4. Income from the Foundation’s economic activity is used to finance its statutory activities, to cover general administration costs of the Foundation and to develop the Foundation’s economic activity.
  5. The Foundation’s economic activity may be conducted by the Foundation itself or by separate organisational units.

Chapter IV. Assets and income of the Foundation

Article 10

  1. The assets of the Foundation include the foundation’s initial capital and financial resources, real estate, movable property, tangible and intangible rights, and other funds obtained by the Foundation in the course of its activities.
  2. The initial assets of the Foundation include the initial capital in the amount of PLN 10,000 and is contributed by the Founder.
  3. Amount of PLN 2,000 separated from the initial capital is allocated to possible economic activity.
  4. The implementation of the Foundation’s objectives and general costs of the Foundation are financed from the initial capital and from the income obtained by the Foundation, on the principles provided for in these Articles of Association.
  5. The Foundation’s income comes in particular from:  a) domestic and foreign donations, inheritances, bequests, exemplary damages, 1% from tax gift aid, b) subsidies, grants, gifts and bailouts, c) collections and events (including public ones), d) income from assets, movable and immovable property, intellectual property, copyrights, licenses, trademarks, patents and other rights of the Foundation, e) profit on bank deposits, deposits in banks and capital market institutions in the country and abroad (in Polish and foreign currency), as well as exchange rate differences, f) profit on interest, including on securities, g) profit from dividends and shares of the Foundation in companies, h) financial operations, i) income from the Foundation’s economic activity, j) issue of bonds.

Article 11

  1. The Foundation’s income is allocated to implement its objectives and to general administration costs.
  2. Assets derived from donations, inheritances, bequests, exemplary damages, 1% from tax gift aid, subsidies, grants, donations, bailouts, collections and events (including public ones) may be used to implement the Foundation’s objectives or to cover general administration costs, only with due regard to the will of persons transferring these funds, in accordance with section 3 hereinbelow.
  3. The people transferring rights, goods or assets to the benefit of the Foundation may stipulate that goods or assets originating from them are to be used in a specific manner. The Foundation Management Board may not accept such a condition, if it finds it difficult, impossible to meet or would expose the Foundation to damage. Then the Foundation does not accept such rights, goods or assets, or returns them if they have already been transferred. If, during the implementation of the objective indicated by the transferor, this objective is already achieved or becomes irrelevant, the remaining funds transferred for the implementation of this objective the Foundation allocates for the objective most convergent with the original objective, unless the transferor decided otherwise.
  4. If the transfer of rights, goods or assets is not accompanied by the determination of the purpose of their use, the Foundation may allocate them for any statutory objective or general costs.
  5. The Foundation may create funds, including those of a purposeful nature, in accordance with the will of the donor, signed by their first name and surname, business name or indicated initiative.

Article 12

  1. The Foundation manages its finances and accounting records in accordance with the applicable provisions.
  2. The Foundation may accumulate its funds in Polish currency and in foreign currencies.
  3. The Foundation is liable for its obligations with all its assets.

Chapter V. Bodies of the Foundation

Article 13

  1. The bodies of the Foundation include:
  2. Founders Council – mandatory.
  3. Management Board – mandatory.
  4. Supervisory Board – optional.

Article 14

Founders Council

  1. The Founder is included in the Founders Council by the virtue of the Articles of Association. The Founders Council consists of one to three members (including the Chairperson of the Founders Council). The Founder may individually appoint and dismiss other persons to/from the Founders Council, and they will receive the status of Members of the Founders Council. If the Founders Council is composed of many people, the Founder assumes the function of the Chairperson of the Founders Council. The Chairperson of the Founders Council has the rights of the Founder. The Chairperson of the Founders Council defines the rules and regulations of the Founders Council, dates and manner of calling its meetings.
  2. The Founder may indicate persons to be appointed to the Founders Council in case of their death indicating whether they receive the status of a Member of the Founders Council or the Chairperson of the Founders Council.
  3. The Founders Council adopts resolutions by a simple majority of votes (this is the majority achieved when more people voting are in favour of the motion than against – abstentions are not included in the result), and when it consists of one member, resolutions are adopted by that person individually. If there is an equal number of votes, the vote of the Chairperson of the Founders Council prevails.
  4. The term of office of members of the Founders Council is determined by the Founder in a resolution appointing the members of the Founders Council. The Founder’s term of office is continuous. The continuous term of office also applies to members of the Founders Council appointed by the resolution adopted in the event of the Founder’s death, unless the resolution provides otherwise.
  5. The Founders Council appoints the Management Board and the Supervisory Board and defines the operations of these bodies.
  6. The Founder is entitled to amend the Articles of Association, including amending the Foundation’s objectives and methods of achieving them.
  7. The competences of the Founders Council include:
  8. determining the number of members of the Foundation Management Board;
  9. appointing and dismissing the Foundation Management Board or its individual members;
  10. determining the remuneration of members of the Foundation Management Board;
  11. adopting rules of procedure of the Foundation Management Board;
  12. considering and approving the annual statements of the Foundation Management Board, including statements required by law;
  13. adopting resolutions on granting the Foundation Management Board the acknowledgement of fulfilment of duties;
  14. appointing and dissolving the Supervisory Board of the Foundation, appointing and dismissing its members, as well as establishing the principles of its operations.
  15. Membership in the Founders Council of a Council Member expires:
  16. at the end of the term of office;
  17. at the time of delivery of the statement on dismissal from the Foundation Council;
  18. at the time of resignation of the Foundation Council Member delivered to the Foundation;
  19. at the time of death.
  20. The mandate of the Chairperson of the Founders Council expires:
  21. at the time of resignation delivered to the Foundation;
  22. at the time of death.

Article 15

Foundation Management Board

  1. The Management Board manages the affairs of the Foundation and represents it outside.
  2. The Foundation Management Board consists of one to three members, including the President of the Management Board. In case of a single-person management board, the President of the Management Board represents the Foundation independently.
  3. Declarations of will on behalf of the Foundation are made by:
  4. the President of the Management Board – in case of a single-person Management Board;
  5. the President of the Management Board individually or two Members of the Management Board acting jointly – in case of a multi-person Management Board.
  6. The Foundation Management Board consists of the Founder under the Articles of Association and they assume the function of the President of the Management Board, who is appointed for an indefinite period.
  7. The remaining Members of the Management Board and the President of the Management Board are appointed by the Founder or the Founders Council, in accordance with the Articles of Association.
  8. The function of a Member of the Management Board and the President of the Management Board may be performed for more than one term of office.
  9. The Members of the Management Board, except for the President of the Management Board, are appointed for a joint three-year term of office, which means that the mandate of a Member of the Foundation Management Board appointed before the end of a given term of office of the Foundation Management Board expires together with the expiry of the mandates of the other Members of the Foundation Management Board. The President of the Management Board is appointed for an indefinite period.
  10. The mandate of a Member of the Foundation Management Board expires:
  11. at the end of the term of office;
  12. at the time of delivery of the statement on dismissal from the Foundation Management Board;
  13. at the time of resignation delivered to the Foundation;
  14. at the time of death.
  15. The mandate of the President of the Foundation Management Board expires:
  16. at the time of delivery of the statement on dismissal from the Foundation Management Board;
  17. at the time of resignation delivered to the Foundation;
  18. at the time of death.

Article 16

  1. The Management Board makes decisions at meetings, as resolutions passed by a simple majority of votes (this is the majority achieved when more people voting are in favour of the motion than against – abstentions are not included in the result). If there is an equal number of votes, the vote of the President of the Management Board prevails.
  2. The Foundation Management Board meetings are held as needed.
  3. The Management Board may appoint advisory teams.
  4. The Management Board may appoint optional auxiliary units, such as advisory, scientific or programme councils, permanent or temporary field facilities, institutes, research bases in the country and abroad, and specify their operations.
  5. Members of the Foundation Management Board and members of other bodies and auxiliary units may receive remuneration for participating in the work of these bodies, units or teams.

Article 17

Tasks of the Management Board include in particular: a) managing the work of the Foundation and representing it outside, b) appointing and dismissing Foundation units and advisory teams and their members, c) adopting programmes and projects of the Foundation’s activities, d) adopting the Foundation’s budget and accounting policy, e) managing the Foundation’s assets, f) accepting assets such as donations, inheritances and bequests, bailouts and subsidies, g) making decisions on the merger with another Foundation, h) making decisions on the liquidation of the Foundation, i) awarding the honorary titles and other prizes and titles, j) preparing and approving statements on the Foundation’s activities, k) making decisions in all matters not delegated to the competence of other bodies.

Article 18

Supervisory Board

  1. It is an optional body of the Foundation and may be established by the Founders Council.
  2. Is a body carrying out internal control over the Foundation Management Board. Supervision does not include supervision over the activities of other bodies, entities, advisory teams, or individual persons.
  3. The Supervisory Board may inspect the Foundation’s assets and its financial documents.
  4. The detailed manner of operation of the Supervisory Board, its composition, duties and rights is determined by the Founders Council.

Chapter VI. Amendment to the Articles of Association

Article 19

Amendments to the Articles of the Association of the Foundation may be made by:

  1. the Founder,
  2. the Chairperson of the Founders Council individually.

They are also entitled to amend the objectives of the Foundation and ways of their implementation, as well as other provisions included in the foundation deed.

Chapter VII. Merger with another foundation, other organisations

Article 20

  1. The Foundation may merge with another foundation or other organisations to effectively achieve its objectives.
  2. The merger decisions are made individually by the President of the Management Board.

Chapter VIII. Liquidation of the Foundation

Article 21

  1. The Foundation is liquidated if its funds and assets are exhausted or by the decision of the President of the Foundation Management Board.
  2. The liquidation decision is made by the President of the Foundation Management Board.
  3. The liquidator of the Foundation is appointed and dismissed by the President of the Foundation Management Board, or the President themselves assume the function of a liquidator.
  4. The assets remaining after the liquidation of the Foundation shall be allocated by decision of the President of the Foundation to foundations operating in the Republic of Poland with similar objectives.

ESTATUTOS DE LA FUNDACIÓN

 The Adventure starts Here Foundation

 Capítulo I. Disposiciones generales

La Fundación denominada «THE ADVENTURE STARTS HERE FOUNDATION» (en adelante, «la Fundación»), constituida por Monika Ćwiek (en adelante, «el Fundador») en una escritura pública redactada por el Notario Sławomir Ogonek en su Notaría de Varsovia, el 9 de agosto de 2019, desarrolla su actividad sobre la base de las disposiciones del derecho polaco y de los presentes Estatutos.

  1. La Fundación adquiere personalidad jurídica a partir de su ins cripción en el Krajowy Rejestr Sądowy (Registro Judicial Nacional).
  2. La Fundación se constituye por tiempo indefinido.

  1. El nombre de la Fundación es «THE ADVENTURE STARTS HERE FOUNDATION».
  2. La Fundación puede utilizar el nombre más específico «la fundación de Nela Pequeña Reportera» o «LA AVENTURA EMPIEZA AQUÍ: LA FUNDACIÓN DE NELA».
  3. La Fundación puede utilizar traducciones de su denominación en determinados idiomas extranjeros.
  4. La Fundación podrá utilizar un logotipo distintivo (el logotipo).
  5. La Fundación podrá utilizar un sello con la denominación y la sede de la Fundación.
  6. La embajadora de la Fundación es Nela Pequeña Reportera.

  1. La Fundación tiene su sede en la capital Varsovia.
  2. El área de la actividad principal de la Fundación es el territorio de la República de Polonia.
  3. Para la correcta ejecución de sus fines, la Fundación podrá llevar a cabo sus actividades fuera de las fronteras de la República de Polonia.
  4. La Fundación podrá establecer sucursales en el territorio de la República de Polonia y en el extranjero.
  5. La Fundación podrá ser miembro de sindicatos, asociaciones y organizaciones con fines estatutarios similares o iguales.
  6. La Fundación podrá cooperar y unirse a empresas y otras fundaciones que operan en la República de Polonia y en el extranjero.
  7. La Fundación podrá establecer contactos en el extranjero y ser miembro de organizaciones extranjeras e internacionales, de conformidad con los presentes Estatutos, las normas de derecho internacional, las leyes vigentes en la República de Polonia y la legislación nacional de los socios extranjeros.
  8. La Fundación podrá conceder premios y títulos honoríficos, en particular diplomas, galardones, subvenciones y becas, tanto a las personas físicas (incluidos los niños menores de trece años) como a otras entidades, instituciones y organizaciones, así como conceder premios a los animales (por ejemplo, perros de rescate) que participen en la realización de los fines de la Fundación.

  1. La Fundación perseguirá sus fines sociales, económicos y útiles de conformidad con los intereses fundamentales de la República de Polonia y la legislación aplicable, y en particular con la Ley de Fundaciones y los presentes Estatutos.
  2. La actividad estatutaria de la Fundación podrá llevarse a cabo como una actividad sin ánimo de lucro o como una actividad remunerada. El alcance de las actividades de beneficio público sin ánimo de lucro o remuneradas será definido por el Comité Ejecutivo.
  3. La Fundación no actuará con ánimo de lucro. La Fundación podrá llevar a cabo en Polonia y en el extranjero las actividades remuneradas en la medida en que sirvan ellas para la consecución de los fines estatutarios y los ingresos generados podrán utilizarse exclusivamente para perseguir estos fines y para cubrir los gastos de administración general, dentro de los límites permitidos por la ley.
  4. La actividad de beneficio público llevada a cabo por la Fundación podrá adoptar forma de una actividad sin ánimo de lucro o de una actividad remunerada.
  5. Los ingresos procedentes de la actividad remunerada de beneficio público se utilizarán exclusivamente para llevar a cabo la actividad de beneficio público.

Capítulo II. Fines y principios de actividad de la Fundación

(incluidos los fines de utilidad pública)

El Ministro competente para los fines de la Fundación es el Ministro de Medio Ambiente.

  • 7

La Fundación persigue los siguientes fines:

  • protección del medio ambiente, de los animales y del patrimonio natural, en particular, de:
  1. la vida y la salud de los animales,
  2. la biodiversidad de fauna y flora,
  3. la naturaleza y los hábitats naturales de los animales,
  4. los mares y océanos.
  • protección del patrimonio cultural, histórico, paleontológico y arqueológico,
  • actividades científicas, en particular, el desarrollo de la ciencia y la investigación en el ámbito de:
  1. la medicina veterinaria;
  2. la genética y comportamiento de los animales,
  3. la inteligencia de los animales y formas en que los organismos vivos se comunican entre sí,
  4. la ecología,
  5. la paleontología,
  6. el patrimonio histórico, natural y cultural mundial,
  7. las expediciones de exploración, viajes y expediciones a la naturaleza,
  8. los tesoros escondidos, civilizaciones perdidas, mitos y leyendas,
  9. la geografía,
  10. la cartografía,
  11. la arqueología (incluida la arqueología subacuática)
  12. la investigación de fondos de los depósitos de agua (mares, océanos y cualquier otra fuente de agua dulce, sólida o corriente),
  13. la búsqueda de unas nuevas especies de animales y plantas, nuevas formas de organismos,
  14. la historia,
  15. la etnografía,
  16. la astrofísica y cosmología,
  17. la robótica;
  • actividades científicas y técnicas;
  • desarrollo y promoción de la educación, la lectura y la expresión oral,
  • desarrollo educativo y personal de niños y jóvenes,
  • actividades para niños y jóvenes, incluidas las actividades de ocio para los niños y jóvenes,
  • apoyo del tratamiento, la rehabilitación y la educación de niños,
  • ecología y promoción de la protección del medio ambiente,
  • actividades para la protección del medio ambiente y de animales, así como de protección del patrimonio natural,
  • protección y promoción de la salud,
  • atención y asistencia social, incluida asistencia a las familias y a las personas en situación difícil, así como la igualdad de oportunidades de estas familias y personas,
  • desarrollo y promoción de la economía, incluidas actividades de apoyo al desarrollo de la tecnología, la inventiva y la innovación, así como la difusión y aplicación de nuevas soluciones técnicas en la práctica empresarial,
  • actividades de apoyo al desarrollo económico, incluido el desarrollo del espíritu empresarial,
  • desarrollo y promoción de las regiones,
  • desarrollo y promoción del turismo, los viajes y la historia local,
  • acciones en favor del turismo y la historia local,
  • desarrollo y promoción de la ciencia, la educación privada, la educación en hogar, la educación preescolar, la primera infancia, las enseñanzas primaria y secundaria y la enseñanza superior, la educación y la crianza,
  • acciones en favor de la ciencia, la enseñanza superior, la educación y la formación,
  • desarrollo y promoción de la cultura y el arte, protección de los bienes culturales y del patrimonio nacional,
  • protección del patrimonio cultural y las tradiciones,
  • actividades culturales,
  • cuidado de monumentos, promoción de monumentos y atracciones turísticas;
  • rehabilitación profesional y social de las personas con discapacidad,
  • actividades educativas, incluidas las relacionadas con la educación de los estudiantes universitarios,
  • desarrollo, difusión y promoción de la cultura física y el deporte,
  • desarrollo, difusión y promoción de las actividades artísticas y creativas, en particular, de los niños y los jóvenes,
  • actividades benéficas,
  • actividades filantrópicas,
  • desarrollo y promoción de proyectos cinematográficos, incluidos reportajes y animación,
  • mantenimiento y difusión de las tradiciones nacionales,
  • cultivo y desarrollo de la conciencia nacional, incluidas las actividades dirigidas a la comunidad polaca, así como el desarrollo de la lectura en polaco,
  • apoyo cultural, educativo, científico y promoción de la lectura de la comunidad polaca en el extranjero,
  • asistencia a las comunidades polacas y a los polacos en el extranjero,
  • actividades para las minorías nacionales y étnicas, así como los dialectos regionales,
  • actividades en beneficio de los discapacitados,
  • actividades para las personas en edad de jubilación y pensionistas,
  • actividades para los veteranos y víctimas de la opresión,
  • actividades en beneficio de los veteranos y los veteranos perjudicados en el sentido de la Ley de 19 de agosto de 2011 sobre las actividades de los veteranos fuera de las fronteras del Estado (Diario Oficial, punto 1203, de 2017, punto 60 y de 2018, punto 138),
  • actividades de apoyo al desarrollo de las comunidades y poblaciones locales;
  • promoción y organización del voluntariado,
  • promoción de la República de Polonia en el extranjero,
  • actividades en beneficio de la familia, la maternidad, la paternidad, la promoción y la protección de los derechos del niño,
  • protección y promoción de la salud, incluida la actividad médica en el sentido de la Ley de 15 de abril de 2011 sobre la actividad médica (Diario Oficial de 2018, puntos 160 y 138)
  • rescate y protección civil,
  • asistencia a las víctimas de catástrofes, desastres naturales, conflictos armados y guerras en Polonia y en el extranjero,
  • actividades de apoyo a la integración europea y el desarrollo de los contactos y la cooperación entre las sociedades,
  • revitalización,
  • promoción de empleo y activación profesional de las personas en situación de desempleo y amenazadas de despido,
  • actividades en beneficio de las organizaciones no gubernamentales.

  1. La Fundación perseguirá sus fines mediante:
  • Organización, realización y apoyo de la investigación y difusión de sus resultados.
  • Organización, subvención o financiación de conferencias, congresos y simposios científicos.
  • Realización de actividades didácticas y educativas.
  • Apoyo a profesores, especialistas, médicos.
  • Organización de cursos de formación y capacitación especialmente para activistas locales de protección de la naturaleza y la comunidad local, incluyendo niños y jóvenes.
  • Organización de campamentos de investigación.
  • Organización de excursiones a la naturaleza.
  • Creación y mantenimiento de bases de datos en Internet.
  • Creación y mantenimiento de páginas web educativas e informativas y otros instrumentos electrónicos destinados a realizar los fines de la Fundación, incluida la activación educativa, cognitiva y relativa a la naturaleza.
  • Adopción de cualquier medida que sirva para la realización de los fines de la Fundación: construcción de sitios web, aplicaciones, campañas en medios sociales, otros medios de comunicación, incluidos los medios de comunicación de masas, una vez obtenidos los respectivos permisos, aprobaciones o concesiones, así como todas las demás actividades relacionadas con la ejecución de los fines estatutarios.
  • Apoyo de la transferencia de los logros científicos polacos a la práctica económica y social en Polonia y en el extranjero.
  • Organización, subsidio o financiación de las reuniones educativas, cursos y expediciones.
  • Actividades de promoción, formación, edición e investigación en el ámbito de los fines de la actividad de la Fundación.
  • Edición de publicaciones periódicas científicas y de divulgación científica.
  • Cooperación con autoridades locales, organizaciones gubernamentales o no gubernamentales, con el sector privado, organizaciones internacionales y entidades extranjeras dentro del ámbito especificado en los fines de la actividad de la Fundación.
  • Financiación de becas y apoyo financiero, y en especie a las actividades de personas y entidades que desarrollen actividades acordes con los fines de la Fundación.
  • Organización y apoyo de eventos promocionales y educativos en el ámbito especificado en los fines de la actividad de la Fundación.
  • Organización de campañas y acciones sociales e informativas.
  • Actividades benéficas y apoyo a organizaciones benéficas.
  • Organización de eventos culturales, tales como conciertos, exposiciones, festivales, conferencias, reuniones, reseñas, talleres, debates, paneles, presentaciones, espectáculos, inauguraciones de exposiciones, espectáculos teatrales y cinematográficos, otros eventos artísticos, culturales, educativos o promocionales, así como eventos y competiciones deportivas.
  • Adopción de todas medidas necesarias para promover el conocimiento de los fines de la actividad de la Fundación.
  • Organización y promoción de la actividad social, el voluntariado y la difusión de buenas prácticas a nivel local, regional e internacional.
  • Organización de intercambios escolares, juveniles y de estudiantes universitarios.
  • Creación, implementación, co-creación y co-implementación de programas de becas y capacitación para niños, jóvenes escolares y estudiantes universitarios, voluntarios y especialistas en diversos campos, adultos y adultos personas mayores de edad.
  • Creación de materiales de medios de comunicación y campañas sociales.
  • Facilitación de contactos e intercambio de información entre instituciones, unidades de investigación, universidades, personas físicas, sector privado, sector no gubernamental, gobierno local y central.
  • Prestación de asistencia, en particular, el desarrollo y la ayuda humanitaria.
  • Difusión de la educación.
  • Acciones de lucha contra el analfabetismo, en particular en los países en desarrollo.
  • Apoyo en especie, personal o financiero para lograr los fines de la Fundación, en particular para permitir la igualdad de oportunidades en la educación, la investigación y el desarrollo, así como para reforzar la conservación de la naturaleza.
  • Organización de encuentros terapéuticos con animales.
  • Apoyo en especie, personal o financiero para promover el desarrollo de individuos sobresalientes, incluyendo niños y jóvenes talentosos, atletas, científicos y veterinarios.
  • Organización de voluntariado y viajes para los voluntarios.
  • Intercambio de experiencias con otros países.
  • Apoyo técnico, formativo e informativo a las entidades externas.
  • Financiación de premios, becas y ayudas.
  • Documentación de la investigación y realización de las actividades de cine y fotografía.
  • Realización de competiciones.
  • Realización de campañas de formación, información y educación.
  • Creación de museos, exposiciones, espectáculos, reuniones, actuaciones, actividades.
  • Realización de todas campañas relacionadas con el salvamento de animales y el cuidado de los mismos, así como conservación de la naturaleza.
  • Organización, gestión, creación, apoyo de centros científicos y de investigación, estaciones de investigación, observatorios, parques naturales, reservas, refugios, centros veterinarios y de rehabilitación, clínicas, laboratorios, centros naturales y educativos, otros centros y puntos científicos, de descubrimiento científico y de viaje.
  • construcción de maquinaria, robots y equipos para la exploración, especialmente de las profundidades.
  • Creación de culturas conservadoras en el ámbito de fauna y flora.
  • Organización y realización de expediciones de investigación científica.
  • Adquisición de terrenos para el cumplimiento de los fines estatutarios de la Fundación en su área, en particular, adquisición de terrenos para la creación de reservas naturales y la protección de animales.
  • Promoción y apoyo de la investigación sobre la fauna, la flora y el medio ambiente, incluidas especies de animales en peligro de extinción, aplicación de programas nacionales para la protección de los animales y la naturaleza y de programas internacionales para la protección de los animales y la naturaleza.
  • Cooperación con centros de investigación, escuelas, científicos, viajeros, veterinarios y exploradores de todo el mundo.
  • Cooperación con niños, jóvenes, padres y participación de niños en la consecución de los fines de la Fundación.
  • Participación en programas de investigación nacionales e internacionales, e intercambio de información y experiencia con otras entidades, difusión y publicación de los resultados de la investigación.
  • Iniciación y apoyo de métodos de investigación modernos, desarrollo de metodologías de investigación, realización de análisis y encuestas.
  • Realización de actividades para promover lectura, terapia del habla y trabajo de desarrollo general con los niños.
  • Creación de jardines de infancia, escuelas y unidades educativas.
  • Realización y apoyo de trabajos arqueológicos, expediciones de exploración y adopción de medidas para popularizar de la investigación y sus resultados.
  • Adopción de medidas para popularizar los efectos de las actividades de la Fundación.
  • Apoyo de actividades de otras entidades cuyas actividades estén en consonancia con los fines de la Fundación.
  • Pertenencia a organizaciones que asocian a entidades polacas y extranjeras, y pertenencia a otras entidades, organizaciones e iniciativas.
  • Incoación de procedimientos e intervención en procedimientos pendientes ante los órganos judiciales y órganos de la administración pública en calidad de una organización socia, de acuerdo con las disposiciones aplicables de la Ley.
  • Inicio, conducción y apoyo de todas las actividades encaminadas a la consecución de los fines de la Fundación.
  • Promoción.
  • Organización de viajes educativos, especialmente para los niños.
  • Difusión de actividades y conocimientos en el ámbito de los fines estatutarios de la Fundación.
  • Formación de comportamientos positivos en ámbito de los fines estatutarios de la Fundación.
  • Activación social en ámbito de los fines estatutarios de la Fundación.
  • Participación en otros proyectos, en consonancia con los fines estatutarios de la Fundación.
  1. Las normas y condiciones detalladas para la realización de los fines podrán ser determinadas por el reglamento interno de la Fundación creado por el Comité Ejecutivo.

 

Capítulo III. Actividad económica de la Fundación

  1. La Fundación podrá llevar a cabo actividades económicas en Polonia y en el extranjero en la medida en que sirvan para alcanzar sus fines estatutarios.
  2. El inicio de una actividad económica requiere una inscripción en el Registro correspondiente.
  3. El Comité Ejecutivo decidirá el inicio de la actividad económica de la Fundación y determinará el objeto de la misma.
  4. Los ingresos procedentes de la actividad económica de la Fundación se destinarán a financiar sus actividades estatutarias, cubrir los gastos generales de administración de la Fundación y desarrollar su actividad económica.
  5. La actividad económica de la Fundación podrá llevarse a cabo por la propia Fundación o a través de una unidades organizativas independientes.

Capítulo IV. Patrimonio e ingresos de la Fundación

  1. El Patrimonio de la Fundación constituirá el fondo constitutivo y recursos financieros de la Fundación, bienes inmuebles, bienes muebles, derechos tangibles e intangibles y otros recursos obtenidos por la Fundación en el curso de su funcionamiento.
  2. El Patrimonio inicial de la Fundación constituirá el fondo constitutivo en el importe de 10 000 PLN y será suscrito y desembolsado por el Fundador.
  3. A una posible actividad económica se asignará el importe de 2 000 PLN separado del fondo constitutivo.
  4. La realización de los fines de la Fundación y los gastos generales de la Fundación se financiarán con cargo al fondo constitutivo y a los ingresos obtenidos por la Fundación, de conformidad con las normas establecidas en los presentes Estatutos.
  5. Los ingresos de la Fundación procederán, en particular, de: a) donaciones nacionales y extranjeras, herencias, legados, compensaciones, disposiciones del 1% de impuesto, b) subsidios, ayudas, donaciones y subvenciones, c) colecciones y eventos (incluidos los de carácter público), d) ingresos procedentes de activos, bienes muebles e inmuebles, propiedad intelectual, derechos económicos de autor, licencias, marcas, patentes y otros derechos de la Fundación; e) ingresos de los depósitos bancarios, depósitos en bancos e instituciones del mercado de capitales en el Polonia y en el extranjero (en moneda polaca y extranjera), así como las diferencias de cambio, f) ingresos por intereses, incluidos los correspondientes a los valores, g) ingresos derivados de dividendos y participaciones de la Fundación en sociedades, h) operaciones financieras, i) ingresos procedentes de las actividades económicas de la Fundación, j) emisión de obligaciones.

  1. Los ingresos de la Fundación se utilizarán para alcanzar sus fines y para cubrir los gastos generales de su gestión.
  2. Los bienes procedentes de donaciones, herencias, legados, compensaciones, disposiciones del 1% de impuesto, donaciones, ayudas, subvenciones, colecciones y eventos (incluidos los de carácter público) sólo podrán utilizarse para perseguir los fines de la Fundación o para sufragar los gastos generales de gestión, respecto a la voluntad del donante, de acuerdo con lo establecido en el párrafo 3 a continuación.
  3. Un cedente de derechos o un donante de bienes o activos a favor de la Fundación podrá estipular que los bienes o activos de ello derivados se utilizarán de una manera determinada. El Comité Ejecutivo de la Fundación podrá negarse a aceptar esta condición si la considere difícil, imposible de cumplir o al considerar que la misma expondría a la Fundación a daños. En tal caso, la Fundación no aceptará tales derechos, bienes o activos, o los devolverá si ya han sido transferidos. Si, en el curso de la ejecución del fin indicado por el donante, dicho fin ya se ha alcanzado o ha quedado sin objeto, la Fundación asignará el resto de los fondos asignados a tal fin a otro fin más coherente con el original, a menos que el donante decida en el momento de la transferencia otra cosa.
  4. Si la transferencia de derechos, bienes o activos no va acompañada de de un fin para el que se pueden utilizar, la Fundación podrá destinarlos a cualquier fin estatutario o a cubrir los gastos generales.
  5. La Fundación podrá crear fondos, incluidos los fondos para fines específicos, de acuerdo con la voluntad del donante, firmados con su nombre y apellidos, nombre o iniciativa indicada.

  1. La Fundación llevará la gestión financiera y los libros contables de conformidad con la normativa aplicable.
  2. La Fundación podrá acumular sus fondos en moneda polaca y en moneda extranjera.
  3. La Fundación responderá por sus obligaciones con todo su patrimonio.

Capítulo V. Órganos de la Fundación

  1. Los Órganos de la Fundación constituyen:
  2. El Patronato – obligatorio.
  3. El Comité Ejecutivo – obligatorio.
  4. El Consejo de Supervisión – opcional.
  • 14

El Patronato

  1. De conformidad con los Estatutos, el Fundador de la Fundación forma parte del Patronato. El Patronato estará constituido por uno a tres patronos (incluido el Presidente del Patronato). El Fundador podrá nombrar y revocar a otros miembros del Patronato, que reciben la condición de los patronos. En el caso de que el Patronato esté compuesto de varios miembros, el Fundador asumirá la función del Presidente del Patronato. Al Presidente del Patronato le corresponden las facultades del Fundador. El Presidente del Patronato determinará el reglamento del Patronato, los plazos y la forma de convocar sus reuniones.
  2. El Fundador podrá designar personas a nombrar como los miembros del Patronato en caso de su fallecimiento, indicando si recibirán la condición de patronos o la del Presidente del Patronato.
  3. El Patronato adoptará sus acuerdos por mayoría simple de votos (se logra cuando más personas que de las que participan en la votación vota a favor de la moción que en contra – abstenciones no se incluyen en el resultado), y cuando está formado por un solo patrono, los acuerdos se adoptarán de forma individual. En caso de empate, decidirá el voto de calidad del Presidente de Patronato.
  4. El cargo de patrono tendrá una duración definida por el Fundador en una resolución por la que se nombran los miembros del Patronato. El cargo del Fundador es continuo. El cargo continuo se aplicará también a los miembros del Patronato nombrados por una resolución adoptada en caso de fallecimiento del Fundador, a menos que la resolución disponga otra cosa.
  5. El Patronato nombrará el Comité Ejecutivo y el Consejo de Supervisión, y determinará la forma de funcionamiento de estos órganos.
  6. El Fundador tendrá derecho a modificar los Estatutos, incluidos cambios de los fines de la Fundación y métodos de su realización.
  7. Son facultades del Patronato las siguientes:
  8. Determinación del número de miembros del Comité Ejecutivo de la Fundación.
  9. Nombramiento y cese del Comité Ejecutivo de la Fundación o de sus miembros individuales.
  10. Determinación de la remuneración de los miembros del Comité Ejecutivo de la Fundación.
  11. Aprobación del reglamento de funcionamiento del Comité Ejecutivo.
  12. Examen y aprobación de los informes anuales del Comité Ejecutivo de la Fundación, incluidos los informes exigidos por la Ley.
  13. Adopción de resoluciones sobre la aprobación de la gestión del Comité Ejecutivo de la Fundación.
  14. Nombramiento y resolución del Consejo Supervisor de la Fundación, nombramiento y destitución de sus miembros, y determinación de las reglas de su funcionamiento.
  15. El cese del miembro del Patronato se producirá:
  16. Por el transcurso del período de su mandato.
  17. Por notificación sobre la destitución del Patronato de la Fundación.
  18. Por renuncia de un miembro del Patronato de la Fundación.
  19. Por muerte.
  20. El cese del Presidente del Patronato se producirá:
  21. Por renuncia presentada a la Fundación.
  22. Por muerte.

El Comité Ejecutivo

  1. El Comité Ejecutivo gestiona los asuntos de la Fundación y la representa en las relaciones exteriores.
  2. El Comité Ejecutivo de la Fundación estará constituido de uno a tres miembros, incluido el Presidente del Comité. En el caso de un Comité Ejecutivo unipersonal, la Fundación estará representada por el Presidente del Comité Ejecutivo.
  3. Declaraciones de voluntad se harán en nombre de la Fundación:
  4. en el caso de un Comité Ejecutivo unipersonal – por el Presidente del Comité Ejecutivo.
  5. en el caso de un Comité Ejecutivo compuesto de varios miembros – por el Presidente del Comité Ejecutivo o dos miembros del Comité Ejecutivo que actúen conjuntamente.
  6. En virtud de los Estatutos, el Comité Ejecutivo de la Fundación estará compuesto por el Fundador que acepta la función del Presidente del Comité Ejecutivo cuyo cargo durará por un tiempo indefinido.
  7. Los miembros restantes del Comité Ejecutivo y el Presidente del Comité Ejecutivo serán nombrados por el Fundador o el Patronato de conformidad con los Estatutos.
  8. El cargo de un miembro del Comité Ejecutivo y el Presidente del Comité Ejecutivo podrá renovarse por más de un mandato.
  9. Los miembros del Comité Ejecutivo, con excepción del Presidente del Comité Ejecutivo, serán nombrados para un mandato común de tres años, lo que significa que el mandato de un miembro del Comité Ejecutivo de la Fundación nombrado antes de que finalice un determinado mandato del Comité Ejecutivo de la Fundación expirará al mismo tiempo que los mandatos de los demás miembros del Comité Ejecutivo de la Fundación. El Presidente del Comité Ejecutivo será nombrado por un tiempo indefinido.
  10. El cese del miembro del Comité Ejecutivo se producirá:
  11. Por el transcurso del período de su mandato.
  12. Por notificación sobre la destitución del Comité Ejecutivo de la Fundación.
  13. Por renuncia presentada a la Fundación.
  14. Por muerte.
  15. El cese del Presidente del Comité Ejecutivo se producirá:
  16. Por notificación sobre la destitución del Comité Ejecutivo de la Fundación.
  17. Por renuncia presentada a la Fundación.
  18. Por muerte.

  1. El Comité Ejecutivo tomará sus decisiones en las reuniones, en forma de resoluciones, por mayoría simple de votos (se logra cuando más personas que de las que participan en la votación vota a favor de la moción que en contra – abstenciones no se incluyen en el resultado). En caso de empate, decidirá el voto de calidad del Presidente del Comité Ejecutivo.
  2. Las reuniones del Comité Ejecutivo se llevarán a cabo según sea necesario.
  3. El Consejo podrá nombrar equipos de asesoramiento.
  4. El Comité Ejecutivo podrá crear unidades auxiliares opcionales, tales como consejos de asesores, científicos o de programas, oficinas permanentes o temporales, institutos y bases de investigación en Polonia y en el extranjero, así como determinar la forma de su funcionamiento.
  5. Los miembros del Comité Ejecutivo de la Fundación y los miembros de otros órganos y unidades auxiliares podrán recibir una remuneración por su participación en los trabajos de dichos órganos, unidades o equipos.

Son facultades del Comité Ejecutivo las siguientes:

  1. a) Gestión del trabajo de la Fundación y representación de la misma externamente.
    b) Nombramiento y cese de las unidades de la Fundación y de equipos de asesoramiento, así como de sus miembsros.
    c) Aprobación de programas y proyectos de la actividad de la Fundación.
    d) Adopción del presupuesto y de la política contable de la Fundación.
    e) Gestión del patrimonio de la Fundación.
    f) Aceptación de bienes tales como donaciones, herencias y legados, subvenciones y ayudas.
    g) Adopción de decisiones en materia de la fusión con otra fundación.
    h) Adopción de decisiones en materia de la liquidación de la Fundación.
  2. i) Otorgamiento de títulos honoríficos, otros premios y títulos.
  3. j) Elaboración y aprobación de informes sobre la actividad de la Fundación.
  4. k) Adopción de decisiones en todos los asuntos no delegados a otros órganos.

El Consejo de Supervisión

  1. Es un órgano opcional de la Fundación y podrá ser establecido por el Patronato.
  2. Es un órgano que ejerce el control interno de la gestión de la Fundación. Dicha supervisión no incluye la supervisión de las actividades de otros organismos, unidades, equipos de asesoramiento o individuos.
  3. El Consejo de Supervisión podrá llevar a cabo inspecciones del patrimonio de la Fundación y su documentación financiera.
  4. Una forma detallada de funcionamiento del Consejo de Supervisión, su composición, deberes y derechos se determinarán por el Patronato.

Capítulo VI. Modificación de los Estatutos

Los Estatutos de la Fundación podrán modificarse:

  1. Por el Presidente del Patronato de forma individual.

También tendrá derecho a modificar los fines de la Fundación y los métodos de su realización, así como otras disposiciones contenidas en la escritura constitutiva de la Fundación.

Capítulo VII. Fusión con otras fundaciones y organizaciones

  1. La Fundación podrá fusionarse con una o varias fundaciones u organizaciones para perseguir el cumplimiento efectivo de sus fines.
  2. La decisión de fusionarse podrá tomarse por el Presidente del Comité Ejecutivo de forma individual.

Capítulo VIII. Liquidación de la Fundación

  1. La Fundación será liquidada si se agotan sus recursos financieros, sus activos o por una decisión del Presidente del Comité Ejecutivo de la Fundación.
  2. La decisión en materia de la liquidación se adoptará por el Presidente del Comité Ejecutivo de la Fundación.
  3. El liquidador de la Fundación será nombrado y destituido por el Presidente del Comité Ejecutivo de la Fundación o aceptará él mismo la función de liquidador.
  4. A través de la decisión del Presidente de la Fundación los activos restantes después de la liquidación de la Fundación se utilizarán en beneficio de las fundaciones con fines similares que operen en la República de Polonia.
